Subscription Terms

Introduction

We at .legal offer a suite of Software-as-a-Service (SaaS) products and services related to Legal and Compliance Tech (the "Service" or "Services"). Among our offerings are Privacy (“Privacy”), PACTIUS Contract Management ("PACTIUS"), and Data Processor Audit Service ("DPA Service"). As a customer, you have the option to subscribe to one or more of our Services, with each Service potentially available under different subscription plans. As detailed in the sections that follow, the terms can vary based on the selected Service and plan, with the terms outlined here constituting a subscription agreement (hereinafter the “Subscription Agreement") for the respective Service.

Privacy

Privacy is our digital tool designed to automate and manage personal data processing in your organisation. It ensures compliance, streamlines the maintenance process, and offers a clear view of your compliance documentation. Fee model for Privacy

Privacy is available in both free and paid plans. The subscription fee for paid plans is generally determined by the number of units registered in Privacy and will be invoiced monthly in advance, in accordance with any minimum unit commitment specified by the chosen plan.

Units include group companies, data processors, and other sharings (e.g., authorities and municipalities).

However, units registered solely as sub-processors (your data processors' data processors) and units registered exclusively as customers (for the 30.2 record) do not count when calculating the subscription fee.

Raising your minimum commitment might make you eligible for a discount. If discounts are not specified on our website, please reach out to us for a quote.

Effective Date, Duration, and Termination for Privacy

The "Subscription Period” is one month from the day you sign up for the Service (the “Effective Date”). The Subscription Period will automatically extend by one month (the “Extension Period”) at the end of the Subscription Period or any subsequent Extension Period unless the Subscription Agreement is terminated in accordance with our Terms of Service.

PACTIUS Contract Management

PACTIUS Contract Management ("PACTIUS") is our versatile operational system designed to streamline contract management. Whether you need basic contract storage and an overview, or have more advanced requirements like obligation management, this platform simplifies the process and offers comprehensive overview and functionality related to contract and obligation management.

Fee model for PACTIUS

The subscription fee for PACTIUS is generally determined by the number of units registered in PACTIUS and will be invoiced monthly in advance, in accordance with any minimum unit commitment specified by the chosen Plan.

Units include the number of users whereas users registered as “support users” do not count when calculating the subscription fee.

Effective Date, Duration, and Termination for PACTIUS

Data Processor Audit Service

Our Data Processor Audit Service ("DPA Service") simplifies data controller responsibilities and ensures GDPR compliance by streamlining the supervision of data processors. Our dedicated DPA Service team manages the supervision process and offers support to data processors. Through the application, you'll also receive comprehensive management and audit reports, complete with practical compliance strategies. Fee model for DPA Service

The subscription fee for the Data Processor Audit Service ("DPA Service") is based on the number of audits conducted on your behalf through the DPA Service and in accordance with any minimum commitment specified by the chosen plan. It will be invoiced annually in arrears and in accordance with the applicable prices and discounts (see DPA Pricing).

Processing of Personal Data

We do not process personal data on your behalf in delivering the DPA Service.

The role of .legal in the provision of DPA Service.

In order for .legal to distribute the DPA Service questionnaire to our Customers' data processors and provide access to the questionnaire, .legal need contact information about the person at the data processor who will receive the questionnaire. In other words, .legal needs this information to deliver the service, but .legal does not process this personal information on behalf of the Customer (i.e., .legal does not process personal information as a data processor for the Customer).

On that basis, .legal assesses that we are not a data processor because:

.legal's service does not involve processing personal information but rather involves auditing a data processor.
.legal independently and without specific instructions from the Customer carries out follow-ups, responds to inquiries from the data processor, etc.
.legal is not subject to the Customer's instructions regarding how the Customer's data processors should access the DPA Service questionnaire, including any personal information that may need to be processed in that context.

Effective Date, Duration, and Termination for Privacy

The "Subscription Period” is the current month plus eleven (11) months from the day you sign up for the Service (the “Effective Date”). The Subscription Period will automatically extend by twelve (12) months (the “Extension Period”) at the end of the Subscription Period or any subsequent Extension Period unless the Subscription Agreement is terminated in accordance with our Terms of Service.
